4.2 The Affiliate must:

(a) keep the Affiliate Website up to date and in good working order;

(b) make sure all marketing (online and offline) complies with applicable law, gambling advertising codes and good industry practice;

(c) state the correct, current terms of any Ludivion promotion, including significant conditions (minimum deposit, wagering requirements, expiry), and include "18+", "T&Cs apply" and a responsible gambling message (e.g. a link to a support organisation) wherever Ludivion is promoted;

(d) comply with all applicable data protection laws (including GDPR where applicable) and cookie laws, and obtain all consents needed for its marketing activity, including any email, SMS or push marketing; and

(e) clearly disclose its affiliate relationship with Ludivion where required by law or platform rules.

4.3 The Affiliate must not:

(a) publish, or link to, any Prohibited Materials;

(b) target, or direct traffic from, Restricted Territories, persons under 18 (or the legal gambling age), or persons known to be self-excluded or vulnerable;

(c) send spam or unsolicited communications, or use spyware, adware, parasiteware, cookie stuffing, forced clicks, iframes, pop-unders or any other deceptive method;

4.4 The Affiliate will not do anything that could reasonably be expected to damage the reputation or goodwill of the Company or the Ludivion brand.

After three (3) written warnings, or immediately where the Company believes the Affiliate acted knowingly, the Company may terminate the Agreement and withhold Commission related to that traffic.

5. Intellectual Property Rights

5.1 The Company grants the Affiliate, for the Term, a non-exclusive, non-transferable, revocable, royalty-free licence to use the Links and Marketing Materials only on the Affiliate Website and only to promote the Ludivion Website in accordance with the Agreement.

5.2 All Intellectual Property Rights in the Ludivion brand, Links and Marketing Materials remain with the Company or its licensors. The Affiliate will stop using them immediately on termination.

6. Commission and payments

6.1 The Company will pay Commission to the Affiliate for Referred Players according to the commission plan assigned in the Acceptance Email or agreed in writing. Unless otherwise agreed, the default plan is the Company's standard Revenue Share plan published on the affiliate site.

6.2 Revenue Share is calculated as a percentage of NGR generated by the Affiliate's Referred Players during each calendar month, for the lifetime of those players' accounts, while the Agreement remains in force.

6.3 Negative balances. Negative NGR is not carried over to the following month.

6.4 CPA is paid once per Qualified Player. CPA deals are agreed individually in writing and may be subject to a minimum number of Qualified Players and to traffic quality review.

6.5 Commission for each calendar month is calculated at the end of that month and paid on the first Tuesday of the following month, provided the amount due is at least the minimum payout for the Affiliate's chosen payment method: EUR 1,000 for bank transfer or USD 100 (paid in USDT) for crypto. Amounts below the minimum roll over to the next month until the minimum is reached.

6.6 Payments are made by bank transfer in EUR or in USDT (crypto), using the payment details entered by the Affiliate in the Income Access platform. The Affiliate is responsible for keeping those details correct. Any transfer fees charged by the Affiliate's bank or payment provider are borne by the Affiliate.

6.7 Commission amounts are inclusive of any VAT or sales tax. The Affiliate is solely responsible for declaring and paying its own taxes. If the Company is required by law to withhold any tax, it will deduct it before payment.

6.8 No Commission is payable in respect of:

(a) players who are the Affiliate, its employees, officers, agents, related companies or family members;

(b) players located in Restricted Territories or who are underage;

(c) accounts closed for fraud, bonus abuse, duplicate accounts or failure to pass verification;

(d) deposits made with stolen or fraudulent payment methods, or later charged back, cancelled or refunded; or

(e) traffic generated in breach of the Agreement.

6.9 The Company may withhold Commission for up to 180 days while it investigates suspected fraud or breach, and may reclaim any Commission already paid that relates to such activity.

6.10 The Company may set off any amount the Affiliate owes the Company against Commission due, before and after termination.

6.11 If the Affiliate disputes a payment, it must notify the Company in writing within 30 days of the payment date. After that period the payment is deemed accepted.

7. Warranties

7.1 Each Party warrants that it has the legal right and authority to enter into and perform the Agreement, and will perform its obligations with reasonable care and skill.

7.2 The Affiliate warrants that it is at least 18 years old, that it is legally permitted to promote online gambling where it operates, and that it is not located in, and does not operate from, a jurisdiction where doing so is unlawful.

7.3 The Company does not warrant that the Ludivion Website or the Income Access platform will be uninterrupted or error-free. To the maximum extent permitted by law, no terms other than those in the Agreement are implied.

8. Indemnity

The Affiliate will indemnify the Company and its officers, employees, agents and subcontractors against all claims, damages, losses, fines and expenses (including reasonable legal fees) arising from any breach of the Agreement by the Affiliate or from the content of the Affiliate Website.

9. Liability

9.1 Nothing in the Agreement limits either Party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything that cannot be limited by law.

9.2 Subject to Clause 9.1, the Company will not be liable for:

(a) loss of profits, income, revenue or anticipated savings;

(b) loss or corruption of data;

(c) damage to reputation or goodwill;

(d) loss of business opportunity; or

(e) any indirect, special or consequential loss,

and the Company's total liability under or in connection with the Agreement in any 12-month period will not exceed the total Commission paid to the Affiliate in the 12 months before the event giving rise to the claim.

10. Force Majeure

10.1 Where a Force Majeure Event causes a failure or delay in performance, the affected obligations are suspended for its duration.

10.2 The affected Party will promptly notify the other Party and take reasonable steps to limit the effects.

11. Termination

11.1 Either Party may terminate the Agreement at any time by giving written notice (email is sufficient) to the other Party.

11.2 The Company may terminate the Agreement immediately, with or without notice, if the Affiliate:

(a) breaches any term of the Agreement;

(b) becomes insolvent or enters any insolvency procedure; or

(c) (if an individual) dies or becomes incapable of managing their affairs.

11.3 The Company may terminate the Agreement without notice if the Affiliate has generated no new Referred Players for six (6) consecutive months.

11.4 The Company may terminate the Agreement immediately if continuing it would breach any law, regulation or licence condition, or if the Company ceases to operate the Ludivion brand in a relevant market.

12. Effects of termination

12.1 On termination, the Affiliate must immediately remove all Links and Marketing Materials and stop presenting itself as a Ludivion affiliate.

12.2 If the Company terminates under Clause 11.2, no further Commission is payable and the Company may withhold any unpaid Commission.

12.3 Otherwise, the Company will pay Commission earned up to the date of termination (subject to the payment threshold, Clause 6.8 and the Company's set-off rights). No Commission accrues on activity after the termination date.

12.4 Clauses 1, 5.2, 6.8–6.10, 8, 9, 12 and 13 survive termination.

13. General

13.1 Notices must be in writing and may be sent by email: to the Affiliate at the email address on its account, and to the Company at growth@ludivion.com. An email notice is received when sent, provided the sender keeps evidence of sending and receives no delivery-failure message.

13.2 No waiver of any breach is effective unless given in writing.

13.3 If any clause is found unlawful or unenforceable, the rest of the Agreement continues in effect, and the clause will apply with the minimum modification needed to make it lawful.

13.4 Nothing in the Agreement creates a partnership, joint venture, agency or employment relationship. The Affiliate acts as an independent contractor.

13.5 The Company may amend these Affiliate Terms by publishing a new version on the affiliate site and notifying the Affiliate by email. If the Affiliate does not accept the change, it may terminate under Clause 11.1. Continued participation for 14 days after notice means acceptance.

13.6 The Company may assign or transfer its rights and obligations under the Agreement without the Affiliate's consent. The Affiliate may not do so without the Company's prior written consent.

13.7 The Agreement is for the benefit of the Parties only and is not enforceable by any third party.

13.8 The Agreement is the entire agreement between the Parties on its subject matter and supersedes all earlier agreements, arrangements and understandings.

13.9 The Agreement is governed by the laws of Costa Rica, and the courts of Costa Rica have exclusive jurisdiction over any dispute.
